MPChat Card Terms and Conditions
These Terms and Conditions ("Terms") are made between you and MP PAYMENT INC, a company incorporated in the State of Colorado, United States of America, with its registered office at 1500 N Grant St Ste R, Denver, Colorado 80203, United States (Colorado Entity ID 20258333663), registered with the Financial Crimes Enforcement Network as a money services business under registration number 31000317872790 (the "Company", "we", "us" or "our").
These Terms govern your application for, and use of, an MPChat Card.
By applying for, activating or using a Card, you agree to be bound by these Terms. Please read them carefully and consult a qualified lawyer if anything is unclear to you.
These Terms are supplementary to the MPChat User Agreement, which continues to apply to you. Where there is any conflict between these Terms and the MPChat User Agreement in relation to a Card, these Terms prevail.
These Terms contain provisions that limit our liability to you, that require you to indemnify us, that permit us to suspend or terminate your Card, and that set a deadline by which a transaction dispute must be raised. Those provisions are highlighted in bold or capitalised text.
1. Definitions
In these Terms:
Account means your MPChat account.
Applicable Law means any law, regulation, rule, order, sanctions measure, directive, licence condition or requirement of any government, regulator, court, card network or other authority that applies to you, to us, or to the Card programme.
Available Balance means the amount of your MPChat Pay Balance that is available to fund Card transactions at a given time, after deducting amounts subject to a hold, authorisation, freeze or dispute.
Card means any payment card issued to you under the MPChat Card programme, whether in virtual or physical form, together with the card number, expiry date and security code associated with it. These Terms apply to every Card, whatever it is called and whatever form it takes.
Card Issuer means the financial institution that issues a Card.
Card Network means the payment network on which a Card operates.
Card Transaction means a purchase, a payment, an ATM withdrawal where supported, a refund, a reversal, an adjustment or any other transaction made using a Card.
Conversion Rate means the rate at which we convert between USDT and the currency of a Card Transaction, being the rate we apply at the time the relevant conversion takes place, which incorporates the rate available to us from our conversion counterparties and the applicable fees.
KYC Information means the identification information, documentation and other evidence we request from you from time to time in connection with your Account or Card.
MPChat Pay Balance means the amount of USDT recorded to your Account in MPChat Pay, as described in the MPChat User Agreement.
Negative Balance means an amount by which the total of Card Transactions, fees and charges properly debited to you exceeds your Available Balance.
Prohibited Article means any good or service the sale or purchase of which is unlawful, or which we or the Card Network or the Card Issuer prohibit, including as set out in the Restricted Merchant & Transaction Policy.
Restricted Jurisdiction has the meaning given to it in the MPChat User Agreement and is used in these Terms for eligibility to hold a Card.
Restricted Card Transaction Jurisdiction means each country and region listed in Clause 8.4, and any other country or region that we, the Card Issuer or the Card Network restrict from time to time for Card Transactions. A Restricted Card Transaction Jurisdiction is not, by that fact alone, a Restricted Jurisdiction for the purpose of Account registration.
Restricted Merchant & Transaction Policy means the policy of that name published in the MPChat help centre, which sets out the merchant categories, named merchants, transaction types and, where applicable, country and region restrictions for which Card Transactions are declined, as updated from time to time and as they apply to particular Card products.
Settlement Amount means the amount of USDT required to settle a Card Transaction, being the transaction amount converted at the Conversion Rate together with any applicable fee.
USDT means the Tether USD stablecoin, on such blockchain networks as we support from time to time.
Verification means the process of verifying your Account and your eligibility for a Card by submitting the KYC Information we request.
Terms defined in the MPChat User Agreement and not defined here have the meaning given to them there.
2. The Card Programme
2.1 Card products change
We offer Cards in virtual and physical form, and different Cards may have different features, fees, limits, supported functions and restrictions.
The Cards we offer at any time, and their respective features, fees, limits and restrictions, are as published in the App or on the Site. We may introduce, modify, suspend or discontinue any Card product at any time. Doing so is not an amendment to these Terms, and it takes effect when published. Where a change materially affects a Card you already hold, we will give you notice in accordance with Clause 13.8.
2.2 A Card is issued by the Card Issuer
A Card may be issued by, and operates on the network of, a third-party financial institution and a Card Network. Your use of a Card is subject to these Terms and also to any terms the Card Issuer or the Card Network imposes, which we will make available to you. We are not the Card Issuer and we do not control the Card Network.
3. Conditions for Use
3.1 Eligibility
We may reject your application, or terminate your access to a Card or to your Account, if you do not meet the criteria below, and we may change our eligibility criteria at any time. By applying for a Card you confirm that:
(a) you are at least eighteen (18) years of age;
(b) you are eligible to hold a Card following Verification;
(c) you have full right, power and legal authority to enter into these Terms;
(d) you are not impersonating another person and are not concealing your identity; and
(e) you are not resident in, located in, or organised under the laws of a Restricted Jurisdiction, and you are not a person described in Clause 4.2 of the MPChat User Agreement.
3.2 Verification
To complete Verification and receive a Card, you agree that we may carry out the checks we consider necessary, including identification, sanctions screening, anti-money laundering and counter-terrorist financing checks, as required by our compliance policies and by Applicable Law.
You agree to provide KYC Information promptly on request, you authorise us to collect and process it for these purposes, and you warrant that you are entitled to provide all KYC Information you submit.
We may refuse to issue a Card, and we may suspend or terminate your use of a Card, if: satisfactory KYC Information is not provided; the KYC Information provided is inaccurate or incomplete; we cannot verify your identity from the information provided; or we suspect prohibited use of your Card or Account.
3.3 Handling of your personal data
Our handling of the personal data we collect in connection with your Account and Card is described in the Personal Information Collection Statement.
You consent to our collecting, using, processing and storing your personal and financial data, including KYC Information, and to our sharing it with the Card Issuer, the Card Network, the other members of the Group, financial institutions and our service providers, to the extent necessary for the purposes of the services provided under these Terms and for compliance with Applicable Law.
3.4 Keeping your information current
You confirm that all information you provide, including KYC Information, is accurate and complete. You must tell us promptly if your personal details change, through the in-app support chat or at [email protected]. We are not liable for a failure of correspondence to reach you because your details were out of date or incorrect.
4. Nature of the Card
4.1 A Card is not a credit card
A Card is not a credit card and does not provide a credit facility. It operates as a prepaid card. A Card Transaction can be completed only where your Available Balance is sufficient to meet the Settlement Amount. You must activate your Card and maintain a sufficient Available Balance before you can transact.
Once your Card is activated, you may use it to:
(a) purchase goods and services from merchants that accept the Card; and
(b) where the Card supports it, withdraw cash from an ATM and settle bills in supported currencies.
4.2 Nature of your Account
Your Account and your MPChat Pay Balance are not a savings account or a checking account. They do not bear interest. They are not insured by the Federal Deposit Insurance Corporation and are not protected by any government-operated deposit protection or investor compensation scheme in any jurisdiction. We do not use your MPChat Pay Balance for investment or lending purposes.
4.3 Your relationship with merchants
We are not a party to the transaction between you and a merchant. All rights and obligations relating to the sale and supply of goods and services rest between you and the merchant, and we have no control over whether a merchant performs. A merchant's refusal to accept a Card is not our responsibility.
5. Funding and Settlement
5.1 Your Card is funded from your MPChat Pay Balance
A Card is funded from your MPChat Pay Balance, which is held in USDT. You fund that balance in accordance with Clause 7 of the MPChat User Agreement.
We do not accept funding of your Card or your MPChat Pay Balance in fiat currency. You cannot top up by bank transfer, debit card, credit card or any other fiat payment method. If we introduce additional funding methods, we will publish them in the App.
5.2 How a Card Transaction is settled
There are two layers to every Card Transaction, and it is important that you understand both:
Between you and us, everything is denominated in USDT. When a Card Transaction is authorised, we determine the Settlement Amount by converting the transaction amount into USDT at the Conversion Rate and adding any applicable fee, and we debit that amount of USDT from your MPChat Pay Balance.
Between us and the Card Network, the acquirer and the merchant, settlement is made in United States dollars or another fiat currency. You do not hold, receive or have any claim to fiat currency at any point.
You authorise us to debit your MPChat Pay Balance, and to convert USDT into the currency required, for the purpose of settling each Card Transaction and each fee and charge properly due under these Terms.
5.3 Conversion Rates fluctuate
The Conversion Rate applied to a Card Transaction is the rate in effect at the time the conversion takes place. Rates fluctuate, and the rate applied may differ from a rate you saw earlier in the App, on the Site or elsewhere. You bear the effect of rate movements. Where a Card Transaction is authorised and later settled, the rate applied at settlement may differ from the rate applied at authorisation, and your MPChat Pay Balance will be adjusted accordingly.
5.4 Debiting
Each Card Transaction is debited to you together with any applicable fee and any other amount we are entitled to deduct under these Terms, and your Available Balance is adjusted accordingly.
5.5 Negative Balance
We will not authorise a Card Transaction for an amount exceeding your Available Balance. If a Negative Balance nevertheless arises, you must repay it, together with any applicable fee and any cost we or a third party incur in recovering it. We may recover a Negative Balance by deducting it from your MPChat Pay Balance, from any subsequent funding of your Account, or from any other balance you hold with us. Allowing a Negative Balance on one occasion does not oblige us to do so again.
6. Card Security
6.1 Activation and PIN
To activate a Card, log in to the App and follow the instructions, including to set a PIN where the Card requires one.
You are responsible at all times for the security of your PIN, your Card details and any access code or credential associated with your Card. You must select your PIN yourself, and you must not share it with, or store it with, any other person. If you do, you remain liable for all activity carried out with your Card by that person.
6.2 Keeping your Card and credentials secure
Your Card and your Account are for your use only, and a Card may be used only after activation. You must not:
(a) write down or disclose your PIN, password or Card security code;
(b) allow another person to see your PIN or password;
(c) store your PIN or password in a form in which it can be identified;
(d) keep a record of your PIN or password with your Card; or
(e) store your PIN or password on a device together with your Card details.
6.3 If security is compromised
If you believe that your PIN or password has been compromised, that your Card has been lost or stolen, or that your Card or Account has been used without your authority, you must contact us immediately through the in-app support chat or at [email protected], and follow the instructions we give you. We may freeze or cancel the Card. We are not liable for activity occurring before we have had a reasonable opportunity to act on your notification.
You may reset your password, and freeze or cancel a Card, in the App at any time.
7. Travel and Change of Residence
If you travel, or if you change your country of residence to one that we do not support for the Card, you may be prevented from using or funding your Card.
Where that happens, you may continue to use your Available Balance to transact in accordance with these Terms until the expiry date of the Card or until your Available Balance is exhausted, whichever occurs first, provided that doing so is permitted by Applicable Law. You must tell us if your country of residence changes.
8. Use of the Card
8.1 Where you can use your Card
Only you, as the cardholder, are authorised to use your Card and your Account. You may use your Card at merchants that accept the relevant Card Network, subject to these Terms, to the Restricted Merchant & Transaction Policy, and to the restrictions in this Clause 8.
Not every Card supports ATM cash withdrawal. Virtual Cards generally do not. The functions supported by your Card are as stated in the App.
If a merchant or a financial institution declines to accept your Card, we are not liable.
8.2 Fees and charges
The fees and charges applicable to your Card are published in the App or on the Site. Unless we state otherwise, they are deducted from your MPChat Pay Balance.
If your MPChat Pay Balance is insufficient to cover a fee or charge, the relevant transaction may be declined. If a transaction proceeds despite an insufficient balance, we may recover the fee or charge in accordance with Clause 5.5.
8.3 Restricted merchants and transactions
You must not use your Card or your Account:
(a) at a merchant that does not accept the Card;
(b) for any transaction that breaches Applicable Law;
(c) for any transaction involving a Prohibited Article;
(d) for any transaction in, with a person in, or connected with, a Restricted Card Transaction Jurisdiction;
(e) for the purchase of a product or service identified by a government agency or by us as carrying a high likelihood of fraud;
(f) as a means of transferring funds to a third party otherwise than in payment for goods or services actually supplied to you; or
(g) for any transaction restricted under the Restricted Merchant & Transaction Policy, which sets out the merchant category codes, named merchants and transaction types for which Card Transactions are declined.
The Restricted Merchant & Transaction Policy forms part of these Terms and is updated from time to time in accordance with our risk management and compliance policies. The restrictions applicable to your Card may differ depending on the Card product you hold, and the prompts shown in the App are authoritative as to the restrictions that apply to you. A transaction may be declined automatically where a merchant is registered under a restricted category with its acquirer, even if you did not expect the restriction to apply.
8.4 Restricted Card Transaction Jurisdictions
The following list of Restricted Card Transaction Jurisdictions applies to Card products that we designate from time to time. The country and region restrictions applicable to the Card you hold are those notified to you in the App, and the in-app prompts are authoritative.
Card Transactions in, or connected with, the following countries and regions are restricted where the Card product you hold is subject to this list:

This list is updated from time to time in line with our compliance and risk management policies and with the Restricted Merchant & Transaction Policy. Certain restrictions apply only to particular Card products. We may restrict any additional country or region at any time, and we may do so without prior notice where Applicable Law requires.
8.5 Authorisation holds
Certain merchants, such as hotels, car rental companies and fuel retailers, may seek authorisation for an amount greater than the expected final bill, which may be up to twenty per cent (20%) more, in order to cover additional items or to confirm that funds are available.
The amount subject to an authorisation hold is not available to you while the hold remains in place. Once the transaction is confirmed, only the amount actually spent or finally authorised is debited, and the balance of the hold is released. Where the Conversion Rate has moved between the hold and the final debit, the USDT amount finally debited may differ from the USDT amount held.
8.6 Card replacement
You may request a new Card, or a replacement for a lost, damaged or faulty Card, through the in-app support chat or at [email protected]. A replacement fee may apply, as published in the App.
9. Transaction Records, Disputes and Refunds
9.1 Check your transaction records
You should retain your transaction receipts and vouchers, and you should review your transaction history in the App regularly.
We accept no responsibility for your failure to review, reconcile and verify your transaction history, or for your failure to report a discrepancy, error, omission or unauthorised transaction to us promptly.
9.2 The deadline for raising a dispute
The entries in your transaction history are presumed to be correct and to have been made by you unless you notify us of a dispute within sixty (60) days, counted from the date on which the transaction settled.
If you do not notify us within that period, a chargeback can no longer be filed and we will treat the transaction as accepted by you.

9.3 Chargebacks
Where a Card Transaction is eligible, we may file a formal dispute, or chargeback, with the merchant through the Card Network on your behalf.
The following apply to every chargeback:
(a) you must submit your request within sixty (60) days of the date the transaction settled, as set out in Clause 9.2;
(b) you must comply with our requests for information, including proof of the transaction, correspondence with the merchant, a copy of the relevant transaction history and a chronological account of the events giving rise to the dispute;
(c) a fee of thirty-five United States dollars (US$35) applies to each chargeback request, and that fee is not refundable, whatever the outcome of the dispute;
(d) a chargeback cannot be cancelled once it has been submitted;
(e) we cannot guarantee that a chargeback will succeed. The outcome is determined by the Card Network's rules and by the merchant's response, not by us; and
(f) where the dispute is resolved in your favour under the Card Network's rules, we will credit the disputed amount to your MPChat Pay Balance in accordance with Clause 9.5.
Certain transactions cannot be disputed. The categories are set out in the chargeback article in the MPChat help centre and are updated from time to time.
9.4 Disputes about goods and services
A completed or authorised payment cannot be stopped or reversed. If you want a refund after a transaction, you must contact the merchant directly. Where the merchant agrees to refund you, it must issue a valid refund through the Card Network before we can credit your Account, and we will process the refund only once we receive it.
Any dispute about the goods or services you obtained with your Card must be taken up directly with the merchant that supplied them.
9.5 Refunds and reversals
A refund, rebate or reversal issued by a merchant reaches us through the Card Network in United States dollars or another fiat currency. We convert it into USDT at the Conversion Rate in effect at the time the refund is received and credit it to your MPChat Pay Balance.
Because a Card Transaction and its refund each involve a conversion between USDT and fiat currency, and because those two conversions take place at different times and at different Conversion Rates, the amount of USDT credited to you on a refund may be more or less than the amount of USDT originally debited from you. We do not compensate you for a shortfall, and we do not recover a surplus from you. You accept this as an inherent consequence of holding your balance in USDT.
We will refund any conversion fee charged on the original transaction, and we will not charge a conversion fee on the refunded amount.
10. Expiry, Closure, Termination and Return of Balance
10.1 Expiry
A Card may be used from activation until the expiry date shown on it or recorded in the App. After expiry, the Card cannot be used for a Card Transaction.
If, six (6) months or more after your Card has expired, we are unable to reach you using the contact information in our records, you agree that we may continue to hold your Available Balance in accordance with Applicable Law, including any applicable unclaimed property law.
10.2 Closing your Card
You may close your Card at any time through the in-app support chat or at [email protected], and request the return of your Available Balance. On closure you should destroy any physical Card, and we will cancel the Card in any event.
You cannot close your Card or your Account while a dispute, investigation or pending authorisation affecting it remains outstanding.
10.3 Suspension or termination by us
We may immediately restrict, suspend or terminate your Card or your Account, without prior notice, where:
(a) your use of the Card or Account breaches Applicable Law or these Terms;
(b) we suspect unlawful or unauthorised use of your Card or Account;
(c) you have provided false or inaccurate information, including KYC Information;
(d) suspension is necessary in order to relocate, replace, maintain, update or repair our systems or those of the Card Issuer;
(e) the Card or Account cannot operate normally because of a force majeure event or the act of a third party not caused by us or by the Card Issuer;
(f) we believe your Account is being misused or has been compromised;
(g) continued use may result in a breach of Applicable Law, including anti-money laundering and sanctions law;
(h) you no longer meet the eligibility requirements in Clause 3.1; or
(i) we reasonably believe that your Card, Account or PIN is being used in a way that may cause loss to you or to us.
Where we suspend your Card, we may hold your Available Balance pending the completion of any investigation. We may disclose a breach or suspected breach to a law enforcement, regulatory or other authority. Our decisions on termination and access restriction may be based on confidential risk management criteria, and we are not obliged to disclose those criteria to you.
10.4 Termination by us without cause
In addition to Clause 10.3, we may close your Card and terminate these Terms without cause by giving you at least thirty (30) days' notice.
10.5 Termination by you
You may terminate your Card and these Terms by notice to us through the in-app support chat or at [email protected]. On termination you must stop using the Card immediately and, where the Card is physical, cut it through the chip and the magnetic stripe. You remain responsible for any fee properly applicable to the termination and for any amount you owe us.
10.6 Return of your Available Balance
Where these Terms are terminated, and subject to Applicable Law, to the completion of any investigation, and to the settlement of every amount you owe us, you are entitled to the return of your Available Balance.
Your Available Balance is returned in USDT, by transfer to a blockchain address you specify, less applicable fees and network costs. You are responsible for the accuracy of that address. USDT sent to an incorrect or incompatible address may be permanently lost, and we are not liable for that loss.
If you wish to obtain a return of your Available Balance at any other time, contact us through the in-app support chat or at [email protected].
Provisions of these Terms that by their nature should survive termination continue in force after it.
11. Indemnity, Warranties and Liability
11.1 Indemnity
You agree to indemnify and hold harmless the Company and its officers, directors, employees, partners and agents (together, the "Indemnitees") from and against all damages, expenses, losses, claims, actions, liabilities, penalties and costs incurred by any Indemnitee, including statutory liabilities, third-party claims, economic loss, accounting fees and legal costs on a solicitor-and-client basis, arising out of or relating to:
(a) your act, omission, negligence, wilful default, mistake, misconduct, dishonesty or fraud, including any theft of or loss relating to your Card or Account;
(b) your breach of these Terms;
(c) your breach of Applicable Law or of any contractual obligation;
(d) your access to and use of the App, the Site, your Card or your Account, including access made using your PIN or password;
(e) your payment instructions, including action we take in good faith in reliance on them; and
(f) your infringement of the rights of any person or entity.
This indemnity does not extend to loss caused by our own fraud or wilful misconduct.
11.2 No warranty
YOUR CARD, YOUR ACCOUNT, THE APP AND THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, CONFORMITY WITH DESCRIPTION AND NON-INFRINGEMENT. IN PARTICULAR, WE DO NOT WARRANT:
(a) that our services will be free from error, virus or other harmful code, or that a defect will be corrected;
(b) that our services will operate without interruption or will be secure;
(c) that information made available in the App or on the Site will be accurate, complete, reliable or fit for your intended use; or
(d) that your use of your Card or Account will not give rise to a legal liability on your part.
11.3 Excluded loss
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND THE INDEMNITEES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE LOSS OR DAMAGE, INCLUDING LOSS OF BUSINESS, REVENUE, PROFIT OR DATA, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE APP, THE SITE, YOUR CARD OR YOUR ACCOUNT, WHETHER THE CLAIM ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ON ANY OTHER BASIS.
11.4 Matters for which we are not liable
WE ARE NOT LIABLE IN RELATION TO YOUR USE OF, OR INABILITY TO USE, YOUR CARD, YOUR ACCOUNT, THE APP OR THE SITE, AND IN PARTICULAR WE ARE NOT LIABLE FOR:
(a) a failed, missed, delayed, duplicated or fraudulent transaction, or any matter relating to payment processing;
(b) a failure by the Card Issuer or the Card Network to convey a notice or instruction accurately;
(c) unauthorised access to your Card, your Account or your personal data that is not attributable to us;
(d) the error or misconduct of any other person, including you, a merchant, the Card Issuer and the Card Network;
(e) a claim arising from action we took reasonably in reliance on your instructions;
(f) loss arising from a cause outside our reasonable control, including non-delivery of post and system failure;
(g) loss arising from your own negligence or fraud;
(h) loss arising from your breach of Applicable Law or of these Terms;
(i) a change in the Conversion Rate, including the difference between the USDT debited on a transaction and the USDT credited on its refund, as described in Clause 9.5; and
(j) a fall in the value of USDT, including a loss of its peg to the United States dollar.
11.5 Cap on our liability and time limit for claims
IF, DESPITE THE PROVISIONS ABOVE, WE ARE FOUND LIABLE TO YOU, YOU AGREE THAT:
(a) no action may be brought more than one (1) year after the event giving rise to the claim; and
(b) our maximum aggregate liability shall not exceed the greater of (i) US$8,000 and (ii) the total fees you paid to us in the twelve (12) months immediately before the event giving rise to the claim.
This limitation does not affect your right to the return of your Available Balance under Clause 10.6.
11.6 Matters we do not exclude
Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, wilful misconduct, or any liability that cannot be excluded or limited under Applicable Law. Where Applicable Law does not permit the exclusion or limitation of a particular liability, our liability is limited to the minimum extent permitted by that law.
12. Customer Support

Our Complaint Policy explains how we handle complaints and the timeframes that apply.
You agree that we may monitor and record your communications with our support team for quality assurance, training, and as evidence in the event of a dispute.
13. General
13.1 Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable, it will be modified to the minimum extent necessary to make it enforceable or, if that is not possible, severed, and the remaining provisions continue in full force and effect.
13.2 Assignment
Your rights and obligations under these Terms are personal to you and may not be transferred to any third party without our written consent. We may transfer our rights or obligations at any time, including to a member of the Group or in connection with a merger, acquisition, reorganisation or sale of all or substantially all of our assets.
13.3 Waiver
Our failure to enforce a provision of these Terms is not a waiver of our rights and does not affect the validity of these Terms.
13.4 Force majeure
We are not liable for any delay or failure to perform our obligations arising from a cause outside our reasonable control, including an act of God, natural disaster, fire, flood, epidemic or pandemic, war, terrorism, civil disturbance, sanctions, act of a government or regulator, strike or labour dispute, failure of a telecommunications or power network, failure or insolvency of a bank, the Card Issuer, the Card Network or another partner, cyber-attack, failure or attack on a blockchain network, or the collapse or severe disruption of a Digital Asset market.
13.5 Compliance with law
You must comply with all Applicable Law in connection with your use of your Card, your Account, the App and the Site.
13.6 Third-party rights
Except for the Indemnitees and the members of the Group, who may enforce the provisions that benefit them, no person other than you and us has any right to enforce any provision of these Terms.
13.7 Amendment
We may amend these Terms by giving you reasonable notice. The amended Terms will be published in the App and on the Site. If you continue to use your Card or your Account after an amendment takes effect, you are bound by the amended Terms. Changes to the Cards we offer, to published fees and limits, and to the Restricted Merchant & Transaction Policy are governed by Clauses 2.1, 8.2 and 8.3 respectively and are not amendments to these Terms.
13.8 Notices
We may give you notice by email to the address associated with your Account, by in-app message or push notification, by publication in the App or on the Site, by post or by hand delivery. A notice is deemed received according to the means by which it is given: on the day of sending for email, in-app message and push notification; on the day of publication for publication in the App or on the Site; and on actual delivery for post and hand delivery.
13.9 Entire agreement
These Terms, together with the MPChat User Agreement and the documents incorporated into it, constitute the entire agreement between you and us concerning your Card and supersede all prior communications on that subject.
13.10 Language
If there is any conflict, inconsistency or discrepancy between the English version of these Terms and any translated version, the English version prevails to the extent permitted by Applicable Law.
13.11 Governing law and jurisdiction
These Terms are governed by the laws of the State of Colorado, United States of America, without regard to its conflict of laws principles, and you submit to the exclusive jurisdiction of the state and federal courts located in the State of Colorado in respect of any dispute arising out of or in connection with them.
